          Mondo TV: executed a new license agreement on MeteoHeroes for Italy on collectibles with Idea Lab S.r.l.

           

          The licensing plans of MeteoHeroes grow quickly

           

          26 August 2020 Mondo TV announced that Idea Lab S.r.l., an Italian company based in Milan, has purchased from Mondo TV S.p.A. a license for the territory of Italy, Ticino, San Marino and Vatican City for the exploitation of the licensing and merchandising rights of the TV series MeteoHeroes for the production of various collectibles products mainly aiming at the distribution in kiosks.

           

          The license provides for the exploitation of the brand for two years starting from September 2020; the agreement provides for the payment by the licensee in favor of Mondo TV of a minimum guarantee amount, not significant in itself, as well as royalties for sales exceeding the minimum guaranteed amount.

           

          The agreement confirms once again the quick development which the property MeteoHeroes is having in the licensing and merchandising from which it is possible to expect important returns in terms of royalties for Mondo TV.

          The Board approved some preliminary consolidated results for the first half of 2020 which confirmed the trend of better margins

           

          At consolidated level:

           

          - the value of production stands at around Euros 12.8 million in line with the same period of the year 2019
          - EBITDA at Euros 8 million compared to Euros 7.76 million in the same period of 2019;
          - Net profit at approximately Euros 2.5 million, increasing for 23% compared to Euros 2 million in the same period of 2019

           

          The Company expects consolidated net profit for the year 2020 to grow by 40% to Euros 5.4 million, also thanks to a reduction of operating costs
          The company plans to increase investments to take advantage of the opportunities that may also arise due to the Covid emergency, in particular for:
          - continued development and sales of new products with the German partner Toon2Tango
          - the full launch of the new 3D studio in the Canary Islands which will involve approximately 65 new resources for the first 3D project with animation entirely realized for the first time in-house by Mondo TV
          - production by the group of new products such as Annie & Carola, already selected for co-production by RTVE, Spanish public television
          - the relaunch in a European co-production of the classic property Grisù, following a market trend that seeks with increasing interest at the revisiting of "vintage" properties

           

          30 July 2020 Mondo TV informed that today the Board of Directors of Mondo TV has approved some preliminary consolidated results relating to the first half of 2020.

           

          The Board analyzed the trend in production value which stood at around Euros 12.8 million, substantially in line with the same period of 2019.

           

          EBITDA was approximately Euros 8 million, with an increase of 3% compared to Euros 7.76 million in the same period of 2019.

           

          Thanks also to the reduction of operating costs, partly attributable to some savings associated with the reorganization of the business to deal with the Covid emergency, the net profit turned out to be approximately Euros 2.5 million, with a growth of 23% compared to Euros 2 million in the same period 2019.

           

          The Group is therefore committed to pursuing its business objectives, intensifying initiatives aimed at growth, trying to fill those spaces that the crisis generated by the Covid emergency seems to open, due to the possible difficulties of competitors. In particular, it should be noted that as early as next autumn, the Group will be committed, in addition to the continuation of the projects currently underway, to:

           

          - continue the development and sales of new products in collaboration with the German partner Toon2Tango;
          - start the new 3D CGI studio in the Canary Islands at full capacity, which will involve approximately 65 new resources for the first 3D CGI project whose animation will be entirely realized for the first time in-house by Mondo TV;
          - launch the production of new products such as Annie & Carola, already selected for co-production by RTVE, Spanish public television; - relaunch, in agreement with Calidra owner of the brand, the classic property Grisù, with a European co-production, following the market trend that seeks with increasing interest to revisited "vintage" properties.

           

          In terms of management, it should be noted that with regard to Asian customers with whom settlement agreements were reached in 2019, the relationships connected with existing productions are continuing regularly and the collection of the related receivables has also continued.

           

          The above figures constitute the best representation available to date of the consolidated results and have not been subject to verification by the company's auditors: the same could be subject to changes when approving the half-year financial report during the meeting to be held on September 14, 2020.

          Mondo TV entrusts the launch of Invention Story in North America to Genius Brands

           

          Important strategic step for the entry of one of the main programs of Mondo TV into the United States thanks to one of the main US media agencies

           

          09 July 2020 Mondo TV announces the signing of an agency contract with Genius Brands International Inc., a company from Beverly Hills (California) and listed on the NASDAQ, which is in charge of starting the launch in the United States of Invention Story, one of the main series of Mondo TV and produced with Henan York.

           

          The contract represents an important strategic step to allow Invention Story to enter the North American market. The initial term of the agreement is three years, with the possibility of renewal from year to year.

           

          Genius Brands will play a key role in supporting the audiovisual launch of Invention Story through digital platforms in North America.

           

          The fee for the agency activity is set in variable commissions through the "revenue share" mechanism.

          MONDO TV reached an important understanding with Huawei for the multi-territorial offer in 26 countries of 58 of its TV series through the Chinese giant's online platform

          22 June 2020 Mondo TV, one of the largest European producers and distributors of animation content, has announced that it has reached an understanding with two companies of the Huawei group for the inclusion of 58 of its animated TV series on Huawei's online platform. The programs will be made available to the public in 26 countries, and namely in Italy, Spain, UK, France, Germany, Poland, Sweden, Turkey, Finland, Norway, Denmark, Russia, Mexico, Colombia, Chile, Philippines, Malaysia, Thailand, Hong Kong, Singapore, India, Japan, Saudi Arabia, Egypt, the United Arab Emirates and South Africa.

           

          The collaboration provides for a revenue share system based on the vision of the 58 animated TV series licensed and belonging to the Mondo TV library for two years from launch with possibility of renewal.

           

          Although it is not possible to make certain forecasts of the revenues which will generate from the exploitation of the licensed series, the agreement has high potential thanks to the large territorial diffusion of the platform and thus of the offer of programs themselves.

          Executed the agreement with Ravensburger on The Gruffalo for Italy and Iberian Peninsula

           

          The agreement confirms the appeal of the property being distributed by Mondo TV

           

          17 June 2020 Mondo TV announced that Ravensburger S.r.l., a leading Italian company in its sector based in Assago (Milano), has purchased from Mondo TV S.p.A. a license for the territory of Italy, San Marino and Vatican City, Ticino, Spain, Portugal and Andorra, for the exploitation of the licensing and merchandising rights of IP The Gruffalo for the production of Puzzle, memory games and dominoes.

           

          The license provides for the exploitation of the brand for three years and a half starting from the current month of June 2020; the agreement provides for the payment by Ravensburger in favor of Mondo TV of a minimum guarantee amount, not significant in itself, as well as royalties for sales exceeding the minimum guaranteed amount.

           

          The agreement confirms the appeal of The Gruffalo property, distributed by Mondo TV, in the licensing and merchandising market from which it is therefore possible to expect interesting returns of royalties for the company.

          05 June 2020 Mondo TV announced that its subsidiary Mondo TV Iberoamérica has announced that it has launched an important strategic change that will affect both the future strategy of the Spanish subsidiary and the entire Mondo TV group: the subsidiary Mondo TV Producciones Canarias, SLU, in fact will expand its facility in Santa Cruz de Tenerife in order to implement a 3D CGI animation production line that will be operational from September 2020.

           

          The initial investment envisaged is approximately € 300,000.00 for the renovation of the new offices and the purchase of the technological devices necessary for 3D CGI production; at the same time as the renovation of the offices, the selection of staff will be launched aiming at recruiting about 30 resources, including illustrators and animators, to carry out the first project currently under negotiation.

           

          This investment will have an impact not only on the evolution of turnover and on the future cost structure of the Mondo TV Iberoamerica Group, but will also affect the entire Mondo TV Group: the parent company Mondo TV in fact, while continuing to operate through third party suppliers that distinguished themselves in recent years, will have the possibility to make use of the Canarian studio for some of the future projects that require closer quality control, thus internalising the cost of the service normally given in outsourcing. The same route can also be followed by the other group companies.

          MONDO TV: the classic library of Mondo TV on the Rostelecom platform in Russia and the CIS

           

          The agreement with Relato for placement on the Russian platform managed by the main Russian telephone operator has been signed

           

          27 May 2020 Mondo TV announced that it has signed a new contract with Relato LLC, a company based in Moscow, for the placement of approximately 600 hours of programs belonging to the classic Mondo TV library on the VOD platform operated by Rostelecom, the main Russian telecom operator.

           

          The license will therefore relate to VOD rights, without exclusivity, until the end of March 2023.

           

          The agreement confirms the interest in the Russian area for Mondo TV programs and will ensure widespread diffusion throughout Russia and the CIS countries.

          MONDO TV: Invention Story goes worldwide on Kidoodle.tv from end of May

           

          After the launch in Italy on Frisbee and in China on Mango TV platform, the diffusion of the program co-produced with Henan York Group is widening considerably

           

          26 May 2020 Mondo TV announced that after execution of a non-exclusive license agreement with A Parent Media Co. Inc, owner of the service “Kidoodle.tv”, Invention Story will be launched by end of May worldwide, except China, where Invention Story goes on Mango TV.

           

          Streaming channel Kidoodle.TV is preparing to launch the series on May 29. The license will expire on 1 June 2022, and provides for a revenue share scheme. Revenues will be calculated based on the number of views of the show.

           

          After the launch in Italy on Free Tv channel Frisbee, and in China on streaming platform Mango TV, the diffusion of the program co-produced with Henan York Group is widening considerably.

           

          Kidoodle.TV, founded in 2012 as a Kid Safe COPPA / GDPR-K-compliant, safe streaming channel for children under 12 in over 140 countries, operates a hybrid AVOD / SVOD business model, reaching connected TVs as well as mobile devices.           25 May 2020 Mondo TV, one of the largest European producers and distributors of animation content, listed on the STAR segment of Borsa Italiana announced its participation to the "Virtual AIM Italia and STAR Conference 2020" event, organized and to be held in virtual mode by Borsa Italiana on May 26th.

           

          The event will allow the Company to present its future strategies and projects during one-to-one meetings and / or small groups, as well as to illustrate the results obtained which showed a very positive trend in 2019.           MONDO TV with Samsung for the launch on the Samsung TV Plus service of a channel dedicated to kids under the Mondo TV brand

           

          An understanding has been reached between the two companies for the offer of Mondo TV programs in bundle with Samsung devices has been signed

           

          20 May 2020 Mondo TV, one of the largest European producers and distributors of animation content, has announced that it has reached an understanding with Samsung for the launch in the autumn of a channel entirely dedicated to children under the brand "Mondo TV". The channel will be included in the offer of the service Samsung TV Plus, bundled on Samsung devices in Italy.

           

          The collaboration provides for a "revenue share" system of advertising revenues deriving from the offer of more than 50 movies and 20 series among Mondo TV programs within the service. The contract has a duration of one year.

           

          Although it is not possible to make certain forecasts of the revenues deriving from advertising revenues connected to the channel, the agreement has high potential, especially in light of the growth in the service in Italy thanks to the spread of Samsung devices in our country.

          Net profit at 1.4 million + 43% compared to the first quarter of 2019

          Ebitda equal to approximately Euros 4 million, + 33% compared to the first quarter of 2019
          Net profit is equal to approximately Euros 1.4 million + 43% compared to the first quarter of 2019 At the level of the parent company only:

           

          Production value is approximately at Euros 4.2 million, + 27% compared to the first quarter of 2019
          Ebitda equal to approximately Euros 2.4 million, + 37% compared to the first quarter of 2019
          Net profit is approximately Euros 1 million in line with the first quarter of 2019
          Expected results for 2020 improving compared to the already excellent 2019

           

          14 May 2020 he Board of Directors of Mondo TV S.p.A. – holding company of a Group working in the production and distribution of cartoons for TV and the cinema – approved the interim financial statement of the Group as of 31 March 2020.

           

          Consolidated results for Mondo TV Group

           

          The value of production in the period is approximately euros 6 million, increasing by 19% compared to the first three months of 2019, as an effect mainly of the sales of the new series by the holding company and by the Group Mondo TV Iberoamérica.

           

          Ebitda is approximately at euros 4 million, with a 33% increase compared to around euros 3 million in the first three months of 2019, due to the reasons explained above and for the savings on the costs.

           

          Ebit is approximately at euros 1.9 million, with an increase of 8% compared to around euros 1.75 million in the first three months of 2019. The net profit is approximately at euros 1.4 million compared to approximately euros 1 million in the first three months of 2019, and in line with the provisions of the new business plan of the group.

           

          The net financial position is equal to Euro 3.3 million of net debt compared to Euro 1.4 million of net debt at December 31, 2019; the increase is mainly due to a slowdown in collections due to the lockdown first in Asia and then in Europe, partially balanced by the lower volume of investments; starting from April and then more consistently in May, the volume of collections is resuming the normal trend due to the re-openings, without highlighting critical situations.

           

          The Group's shareholders' equity amounted to euros 61.6 million compared to euros 60.4 million as of December 31, 2019, mainly by virtue of the result of the period

           

          Results of the Holding company

           

          The value of production in the period is approximately at euros 4.2 million, with an increase of 27% compared to the first three months of 2019, mainly by virtue of the sales of the new series.

           

          Ebitda is approximately at euros 3.3 million, with a 37% increase compared to approximately euros 2.4 million in the first three months of 2019 due to the above.

           

          EBIT is approximately at euros 1.5 million, increasing of 7% compared to around euros 1.4 million in the first three months of 2019.

           

          The net profit is approximately at euros 1 million in line with the first three months of 2019. Main events in the first quarter 2020

           

          In the first quarter of 2020, the collaboration with the German company Toon2Tango was strengthened, strengthening the Group's presence in the countries of Northern Europe, with the start of the development of three further productions and with the worldwide distribution mandate for Mondo TV, both for television rights and licensing, of two further series produced by third parties.

           

          On February 20, the sale of the animated series Sissi and MeteoHeroes to Swiss television RSI was completed.

           

          At the end of the quarter, the subsidiary Mondo TV Iberoamérica renewed with Turner Italia the transfer of the rights of the first two seasons of the live series "Yo Soy Franky", while the main source of revenues for the subsidiary Mondo TV Producciones Canarias related to the sale of part of the IP of "Bat Pat 2" to RTVE.

           

          Mondo TV France continues the production of the animated series Disco Dragon while the parent company continues the production of the animated series Invention story, Robot Trains 3 third season, and MeteoHeroes.

           

          Business Outlook

           

          In April, the series MeteoHeroes (previewed on April 22) and Invention stories were launched with satisfactory audience results.

           

          Also in April, the subsidiary Mondo TV Producciones Canarias signed a new co-production contract with Enanimation for the development of a 52 episode series called "Nina and Olga", based on the books by the famous writer and illustrator Nicoletta Costa.

           

          In May, Mondo TV signed a six-program license agreement with TIM to broadcast on TIMVISION, including Invention Story, Robot Trains and Sissi.

           

          To date, no significant impacts are expected from the crisis relating to COVID-19, as the company has been structured in such a way as to continue normal operations even with remote work tools and there are currently no significant slowdowns by the both domestic and foreign suppliers and has the necessary liquidity for the normal course of operations; as regards the acquisition of new contracts, the group has sufficient contracts for the coming months to achieve the objectives set in the business plan.

          The Shareholders Meeting also appointed the new board of Statutory Auditors

           

          13 May 2020 The Shareholders Meeting of Mondo TV S.p.A. – holding company of a Group working in the production and distribution of cartoons for TV and the cinema –approved the financial statements and the consolidated financial statements as at 31 December 2019.

           

          Consolidated results Respect to 2018, the revenues increase, equal to Euros 3.7 million in absolute value and to 19% in percentage, was mainly attributable to the development of new projects by the Parent Company and the increase in turnover of the subsidiary Mondo TV France. The Parent Company reported the production and delivery of the series "Invention story", "Bat Pat 2", "Robot Trains Season 2 and 3" and "MeteoHeroes" while with reference to Mondo TV France, the increase is due to completion of the series “Rocky Kwaternaire” and the production progress of the series “Disco Dragon”.

           

          Capitalized costs relating to the produced series were mainly related to the Holding Company’s productions, and to those by Mondo TV France, and were equal to Euros 3.5 million (Euros 2.7 million in 2018): the increase is due to the higher progress in productions by the same Mondo TV France.

           

          Operating costs decreased for Euros 0.7 million, mainly by virtue of the lower volume of productions costs and for the deletion of the rental costs for the offices as an effect of the IFRS 16 starting from January 1, 2019.

           

          EBITDA passed from Euros 11.2 million in 2018 to Euros 16.4 million in 2019 with an increase equal to Euros 5.2 million; the increase of 47% was mainly caused by increase of the revenues opposed to a lowering of operational costs.

           

          In light of the above, the operating result after amortization, depreciation and provisions (Euros 10.1 million in 2019, compared to Euros 65.7 million in 2018) was positive by Euros 6.3 million, compared to Euros 54.56 million of operating loss for 2018, with an increase of Euros 60.9 million in absolute terms.

           

          In the financial year 2019 the financial management was negative for Euros 0.3 million, compared to a negative result of Euros 0.5 million in 2018.

           

          After tax on income for Euros 2.1 million (positive for Euros 11.5 million in 2018 for the recording of anticipated tax), a net profit s was reported, it being equal to Euros 3.8 million, compared to a loss of Euros 39.5 million in preceding year, with a positive variation of Euros 43.3 million in absolute terms.

           

          The consolidated net financial position, showed indebtedness for Euros 1.4 million, compared to a net availability of Euros 8.1 million as at 31 December 2018, by virtue of the investments made in the new productions and the introduction of the new accounting principle IFRS 16, which extended to operative leasing the same accounting regime applied to financial leasing: the effect of the change of accounting principle was a higher debt for Euros 1.5 million: without such effect, the NFP would be positive for Euros 0.1 million.

           

          Net equity of the group went from Euros 58.2 million at 31 December 2018 to Euros 60.4 million at 31 December 2019).

           

          Results of the parent company

           

          Respect to 2018, the revenues increase was equal to Euros 1.7 million in absolute value and to 10% in percentage, and was mainly determined, as said above, by the progress of the new projects by Mondo TV.

           

          Capitalized costs relating to the produced series were equal to Euros 1.1 million (Euros 1.1 million in 2018).

           

          Operating costs were Euros 4.8 million (Euros 6.4 million in 2018) by virtue of the lower volume of productions costs and for the deletion of the rental costs for the offices as an effect of the IFRS 16 starting from January 1, 2019.

           

          EBITDA went from Euros 11.0 million in 2018 to Euros 14.2 million in 2019 with an increase of Euros 3.2 million in absolute; the increase of 30% in percentage was mainly due to the higher volume of revenues opposed to lower operating costs.

           

          In light of the above, the operating result after amortization, depreciation and provisions for Euros 7.4 million (Euros 59.2 million in 2018) was positive for Euros 6.9 million, compared to an operating loss of Euros 48.2 million in 2018, with an increase of Euros 55.1 million in absolute terms.

           

          In the financial year 2019, the financial management was negative for Euros 1.2 million, against a negative result of Euros 1.8 million in 2018, mainly determined by the rectification of the stake into Mondo TV Iberoamérica for Euros 1.1 million (Euros 2.2. million in the preceding year).

           

          After tax for Euros 1.9 million (Euros 11.4 million of fiscal charges in 2018), a net profit was reported, it being equal to Euros 3.7 million, compared to a loss of Euros 38.7 million in preceding year.

           

          The net financial position, showed availabilities for Euros 3.1 million (of which Euros 1.7 were represented by mid-long term financial credits toward the controlled companies), compared to net availabilities for Euros 16.5 million as of 31 December 2018, by virtue of the investments made in the new productions and the introduction of the new accounting principle IFRS 16, which extended to operative leasing the same accounting regime applied to financial leasing: the effect of the change of accounting principle was a higher debt for Euros 1.3 million: without such effect, the NFP would be positive for Euros 4.4 million.

           

          Cash availabilities of Mondo TV amounted to Euros 6.4 million as of 31 December 2019.

           

          Net equity went from Euros 59.5 million at 31 December 2018 to Euros 63.9 million at 31 December 2019 mainly by virtue of the loss profit in the year for Euros 3.7 million.

           

          In terms of management, it should be noted that with regard to Asian customers with whom settlement agreements were reached in 2019, the relationships connected with the existing productions and the cashing of the relevant credits continued regularly.

           

          Destination of the result

           

          The Board of Directors deliberated to propose the carrying forward of the year result.

           

          Remuneration report

           

          The company also submitted to the consultancy vote of the shareholders’ meeting, which gave its favorable opinion with binding vote on the first section and non-biding vote on the second section, the Report on the Remuneration, which was drafted in line with the current laws and regulation and sets forth the guidelines for the remuneration of executive directors and strategic managers, and their compensations.

           

          Appointment of Statutory Auditors

           

          The meeting also appointed the new Statutory Auditors which will remain in charge up the shareholders’ meeting called to resolve upon the approval of the financial statements for the financial year 2022. The appointed statutory auditors are the following ones:

           

          1. Maurizio Bernardo – President of the Statutory Auditors;
          2. Adele Barra – Statutory Auditor in charge;
          3. Alberto Montuori - Statutory Auditor in charge;

           

          4. Sara Acquarelli – deputy Statutory Auditor;
          5. Davide Salatino- deputy Statutory Auditor.

           

          All the above appointed statutory auditors were selected from the unique list of candidates which was presented by the majority shareholder, Ms. Giuliana Bertozzi, who owns at the date hereof and based on the communication sent to CONSOB and received by the Company pursuant to section 120 of Legislative Decree 58/1998 a participation equal to 20.031% of the Company’s capital; the resume of each statutory auditor is available at Borsa Italiana and on Mondo TV’s website (www.coisinhasdemulher.com or www.mondo-tv.com), as well as on the authorized storage system managed by Spafid Connection S.p.A. together with their confirmation that they have the needed requirements for the office based on the law and statute, and their acceptance of their appointment. The remuneration for the board of Statutory Auditors has been determined globally in Euros 38,000 per year.

          “Invention Story”, “Robot Trains”, “Sissi” and many more of Mondo TV’s portfolio will be available in Italy on TIMVISION

           

          8 May 2020 Mondo TV, one of the largest European producers and distributors of animation content, has announced the closing of an agreement with TIM for the license to six programs in its portfolio, including Invention Story, Robot Trains and Sissi and many others from the classical library, which will be made available on TIMVISION, the on-demand TV by TIM.

           

          The license provides for the granting of SVOD rights on a non-exclusive basis, for the Italian territory for a period of 15 months, with license periods starting on different dates for each program.

           

          The exposure deriving from the contract for Mondo TV programs is particularly relevant in light of the importance of TIMVISION, one of the main Italian SVOD platforms with a significant capacity to penetrate the Italian public.

           

          The contract therefore sees its relevance in the possibility of exploiting an important channel for the diffusion of the contents in the view of creating the brand awareness.

          MONDO TV GROUP: Mondo TV Iberoamerica Group published its consolidated results for the first quarter of 2020

           

          The quarter ended with a strong improvement of the value of production and a profit of around 620 thousand Euros against the loss of around 50 thousand Euros in the first quarter of 2019

           

          All other fundamentals in significant improvement:
          - Production value: 1,128,818 Euros (110,954 Euros in the first quarter 2019, +917%)
          - EBITDA: Euros 756,500 (Euros 199,249 in the first quarter 2019, +279%)
          - EBIT: Euros 641,010 (Euros 68,410 in the first quarter 2019, +837%)
          - Net profit: Euros 621,950 (compared to the loss of Euros 52,456 in the first quarter 2019)

          A new contract has also been signed today with the company Enanimation S.r.l. for the international co-production of a new animated series

           

          21 April 2020 Mondo TV S.p.A. announced that Mondo TV Iberoamerica Group has published today its consolidated results for the first quarter of 2020.

           

          According to what was communicated by the Spanish subsidiary, the value of production of the Mondo TV Iberoamerica Group (consisting of Mondo TV Iberoamerica SA and the subsidiary Mondo TV Producciones Canarias SLU) stood at Euros 1,128,818 in the first quarter of 2020, compared to Euros 110,954 in the first quarter 2019 with an increase of 917%.

           

          The EBITDA of Mondo TV Iberoamerica Group was Euros 756,500 (Euros 199,249 in the first quarter 2019, thus +279%), EBIT of Euros 641,010 (Euros 68,410 in the first quarter 2019, thus +837%) and the net profit of Euros 621,950 (compared to the loss of Euros 52,456 in the first quarter 2019).

           

          The first quarter of 2020 therefore consolidates the recovery of the Mondo TV Iberoamerica Group's business which further improved its financial position. The liquidity ratio (1.32) and net working capital (positive for Euros 745,855) reached their highest level since the creation of the Group, while the debt ratio dropped to its minimum level (2.01).

           

          The net financial position showed a net indebtedness for Euros 2,543,834, slightly increasing compared to 31 December 2019 (Euros 2,350,396), due to the decrease in cash for operating expenses.

           

          The Group today signed a new international co-production for a series of 52 episodes of 7 minutes each, titled "Nina y Olga", with the Italian producer Enanimation Srl: the new production includes a 12-month pre-production plan and an investment of almost one million Euros, by virtue of which the Mondo TV Iberoamerica Group will acquire 25% of the IP and 100% of the exploitation rights in Spain.

          As an effect, pursuant to section 144-sexies, 5 paragraph of the Consob Regulation 11971/1999, the term for the filing of the list of candidates to the office of member of the Statutory Auditors is extended of three more days, and the minimum percentage of owned shares of Mondo TV S.p.A. for the filing of such list is reduced from 4,5% to 2,25%.

          02 April 2020 Mondo TV S.p.A. informs that today the ordinary shareholders' meeting has been called at the registered office in Rome, via Brenta 11, in single call for May 13, 2020 at 8:30 am, to discuss and resolve on the following agenda:

           

          1. Financial statements as at 31 December 2019; Consolidated financial statement as at 31 December 2019; Management report; Auditors' report; Report of the person in charge of the accounting control; destination of the result for the year;
          2. Remuneration Report pursuant to art. 123-ter Legislative Decree 58/1998;
          3. Appointment of the Board of Statutory Auditors and determination of their remuneration.

           

          It should be noted that due to the measures connected to the epidemiological emergency from Covid-19, it is necessary to protect the health of Shareholders, employees, representatives and consultants of the Company and in accordance with art. 106, paragraph 4, of Legislative Decree no. 18 of 17 March 2020, the participation and exercise of the vote of those entitled in the Shareholders' Meeting will be regulated by the Designated Representative pursuant to art. 135-undecies of Legislative Decree no. 58/1998.           Mondo TV executed a licensing agreement with Maikii on the third party IP named “The Gruffalo”

           

          31 March 2020 Mondo TV, one of the major European producers and distributors of animated content, has announced the execution of a licensing agreement with the Treviso based company Maikii Srl, part of the MKI Group Srl group, for the manufacture and distribution in Italy of audio stories connected to the characters of the publishing phenomenon The Gruffalo, aired on Rai.

           

          The license will have a duration of about three years, and provides for the payment of a so-called minimum guaranteed amount, and royalties after recoupment of the aforementioned guaranteed minimum.

           

          The agreement, although of an insignificant amount in itself, represents the entrance of Mondo TV in a niche market that has never been exploited by the group to date, thanks to a property famous both in Italy and abroad.

          30 March 2020 he Board of Directors of Mondo TV S.p.A. – holding company of a Group working in the production and distribution of cartoons for TV and the cinema –approved the draft financial statements and the consolidated financial statements as at 31 December 2019.

           

          Consolidated results Respect to 2018, the revenues increase, equal to Euros 3.7 million in absolute value and to 19% in percentage, was mainly attributable to the development of new projects by the Parent Company and the increase in turnover of the subsidiary Mondo TV France. The Parent Company reported the production and delivery of the series "Invention story", "Bat Pat 2", "Robot Trains Season 2 and 3" and "MeteoHeroes" while with reference to Mondo TV France, the increase is due to completion of the series “Rocky Kwaternaire” and the production progress of the series “Disco Dragon”.

           

          Capitalized costs relating to the produced series were mainly related to the Holding Company’s productions, and to those by Mondo TV France, and were equal to Euros 3.5 million (Euros 2.7 million in 2018): the increase is due to the higher progress in productions by the same Mondo TV France.

           

          Operating costs decreased for Euros 0.7 million, mainly by virtue of the lower volume of productions costs and for the deletion of the rental costs for the offices as an effect of the IFRS 16 starting from January 1, 2019.

          Business Outlook and important facts after the end of the financial year

           

          The company is implementing the strategic line defined in the Business Plan approved by the Parent Company's Board of Directors on last 10 December, through the acquisition of new productions geared towards the Group's licensing and internationalization. In the first quarter of 2020, the collaboration with the German company Toon2Tango was strengthened, with the start of the development of three further productions and with the worldwide distribution mandate for Mondo TV, both for television rights and licensing, of two further series produced from third parties.

           

          On February 10, 2020, the Company filed a wide appeal against a notice of recovery of the Tax Authority with which it contested, following to the report on 23 May 2019, the compensations made in 2012 by means of the tax credit generated by the "conversion" of deferred tax assets ("DTA") in tax credits made pursuant to art. 2, paragraphs 55-58, d.l. n. 225/2010. In the opinion of the professionals in charge of the defense of the company, there are very valid elements of both a formal nature (pertaining to the forfeiture of the tax power), and substantial (pertaining to the formation of DTA civil credits and their conversion into DTA tax credits), to counteract what has been stated by the Tax Authority. For these reasons, the risk of losing the case is considered unlikely, as has already happened in tax disputes in previous years, all resolved with the acceptance of the appeals presented by the Company and with the loss of the Tax Authority. In any case, in light of the amount of the dispute (2,328 thousand Euros plus penalties and interests) the appeal was preceded by a request for self-protection, in order to keep the dialogue, open with the Agency, which also continued by sending further documentation.

           

          To date, no significant impacts are expected from the crisis relating to COVID-19, as the company has been structured in such a way as to continue normal operations even with remote smart work modalities and there are currently no significant slowdowns by the both domestic and foreign suppliers; as regards the acquisition of new contracts, the group has contracts and sufficient liquidity for the coming months to achieve the objectives set in the business plan; furthermore, the media sector currently appears to be among the least affected by the emergency; on the contrary, the audience of children's television channels is currently on the rise and this may constitute a business opportunity for the group in the coming months.

           

          Therefore, it should be noted that to date there have been no events occurring after 31 December 2019 such as to make the current financial and account statements on substantially different from that resulting from the balance sheet on that date or to require adjustments or supplementary notes to the financial sand accounting statements.

           

          Statement of the Financial Director

           

          The financial director, responsible for the drafting of the company’s accounting statements (Mr. Carlo Marchetti) states, pursuant to sect. 154-bis, 2nd paragraph, of Lgs. Decree Nr. 58/1998, that the accounting information included in this communication reflects the results of the accounting documents, books and records.

           

          The Board also approved the corporate governance and remuneration reports. Independency requirements of the independent directors have been verified.

          MONDO TV: The Board of Directors of Mondo TV Iberoamérica, S.A. has approved the consolidated financial statements for the 2019 financial year
          The related press release was published this morning by the subsidiary through the systems of the Madrid Stock Exchange and reported the following results:

           

          · Consolidated revenues: Euros 2,414,689.79 (+80,57% compared to 2018)
          · Consolidated EBITDA: positive for Euros 1,337,293.35 (negative for around Euros 217 thousands in 2018)
          · Consolidated Net Profit: positive for Euros 107.162,53 (negative for around Euros 5,570 thousands in 2018)

           

          18 March 2020 Mondo TV informs that the Board of Directors of Mondo TV Iberoamérica, SA, yesterday evening approved the consolidated financial statements for 2019. The subsidiary company published this morning the related press release which is reproduced herein in Italian and English.

           

          Consolidated revenues amounted to Euros 2,414,689.79 (+ 80.57% compared to 2018) while consolidated EBITDA returned to be positive for Euros 1,337,293.35 (negative for Euros 216,737.40 in 2018) and consolidated net profit was Euros 107,162.53 (negative results for Euros 5,568,045.87 in 2018), highlighting that the results in 2018 were just an exception which has been already overcome.

           

          The asset and financial balance was restored through the returning to a positive net equity of Euros 1,110,183.16 and, for the first time, the Group closed the year with positive working capital for Euros 192,758.61. The net financial position improved from being negative for Euros 7,338,813.03 in 2018 to being negative for Euros 2,139,447.65 in 2019.

          MONDO TV:Toon2Tango grants distribution mandate to Mondo TV on two new television series currently in production

           

          The new agreement expands the collaboration between Mondo TV and the German Toon2Tango to an extensive collaboration on worldwide distribution of two series owned by third parties, both for media and for licensing and merchandising rights

           

          The two projects, both of high quality, have a high potential for success both in terms of sales and revenues which will have effects on the turnover of the company in the next three years.

           

          06 March 2020 Mondo TV informs that it has reached a new agreement with the German company Toon2Tango GmbH, the recent joint venture founded by Hans Ulrich Stoef and Jo Daris, based in Munich, for the distribution of two new programs for children produced and owned by third parties.

           

          Mondo Tv will deal, in close collaboration with Toon2Tango (which keeps a main role for distribution in Germany, Austria and Switzerland), of the worldwide distribution of the aforementioned programs with the exception of the territories of Scandinavia and Benelux, as regards on of the project, and the United Kingdom, Ireland and Canada, as regards the other project. The distribution will cover both media rights (and therefore all audiovisual exploitation rights) and licensing & merchandising (with the exclusion of the so-called Master Toy rights which remain reserved for Toon2Tango with a shared commission between the parties).

           

          The commission agreed between the parties, and agreed by Toon2Tango with the IP owners, must be kept confidential, and it will be shared by Mondo Tv and Toon2Tango in light of their intense cooperation in distribution. The only exceptions to the distribution rule concern the territories of Italy, which remains 100% with Mondo Tv, and Germany, Austria and Switzerland which remain 100% with Toon2Tango.

           

          The two projects, which present a high quality and a high commercial appeal, already preliminary verified by the parties during the recent Kidscreen summit in Miami, have a high potential for success in terms of sales and revenues, and will have a positive effect on the turnover in the next three years, although not easily quantifiable to date.

          MONDO TV: Mondo TV Group strengthens its strategic alliance with Toon2Tango

           

          The parties have agreed upon the development of two new additional animation projects and the replacement of the Oonah project with a further new one

           

          Above all, the essential terms of the strategic cooperation agreement already announced on 20 June 2019 have been confirmed

           

          With the eight projects to be worked with Toon2Tango, the focus on Euro-American IP is growing with the refocusing of the Mondo TV Group business towards European customers and broadcasters for the next few years.

           

          27 February 2020 In addition to the press releases of 20 June 2019, 9 October 2019 and 28 October 2019, Mondo TV informs that it has reached a new agreement with the German company Toon2Tango GmbH, the new company founded by Hans Ulrich Stoef, former CEO of m4e and Chairman of Studio 100, for the development of three new joint projects under the strategic cooperation agreement announced on 20 June 2019.

           

          The development involves the creation of the main graphics, a narrative arc, some scripts and subjects and a presentation of the intellectual property underlying the two projects, whose titles have to be set, as well as a project with working title "Fantasy Factory" which is aimed to replace the "Oonah" project announced on 28 October 2019 and which was decided not to continue. The integration also confirms the essential terms of the cooperation agreement dated 20 June 2019.

           

          Indeed, the total investment at the head of Mondo TV for the development of the three projects is USD 80,000 per project. It should also be noted that the parties have agreed on the full recovery of what has already been paid by Mondo TV for Oonah, so that no further payments by Mondo TV are expected for the development of Fantasy Factory.

           

          It should also be noted that the projects being developed will be brought into production only if the presales should guarantee coverage of the production budget for an amount of at least Euros 2.4 million per project.

           

          In terms of distribution, it is recalled that as already agreed in the cooperation agreement, the parties will cooperate on multi-territorial agreements but will operate independently in some countries; in particular in Europe, Toon2Tango will be responsible for distribution in Germany, Austria, Switzerland, the United Kingdom and Ireland, Scandinavia and Benelux, while Mondo will be responsible for distribution in all other European countries. The distribution includes both audiovisual rights and all licensing and merchandising rights.

           

          Therefore, in light of the above, with the eight projects to be worked with Toon2Tango, the focus is growing on Euro-American IP with refocusing of the Mondo TV Group's business towards European customers and broadcasters for the next few years.

          Mondo TV: executed the agreement with Ravensburger on MeteoHeroes for Italy and Iberian Peninsula

           

          The licensing plans of MeteoHeroes grow quickly

           

          21 February 2020 Mondo TV announced that Ravensburger S.r.l., a leading Italian company in its sector based in Assago (Milano), has purchased from Mondo TV S.p.A. a license for the territory of Italy, San Marino and Vatican City, Spain, Portugal and Andorra, for the exploitation of the licensing and merchandising rights of the TV series MeteoHeroes for the production of Puzzle 2D, 3D and memory games.

           

          The license provides for the exploitation of the brand for two years starting from January 2021; the agreement provides for the payment by Ravensburger in favor of Mondo TV of a minimum guarantee amount, not significant in itself, as well as royalties for sales exceeding the minimum guaranteed amount.

           

          The agreement confirms the quick development which the property MeteoHeroes is having in the licensing and merchandising from which it is possible to expect important returns in terms of royalties for Mondo TV.

          Mondo TV reaches a new license agreement with RSI for the broadcasting of Sissi and Meteo Heroes on Swiss national television

           

          20 February 2020 Mondo TV announces that it has reached a license agreement with its subsidiary Mondo TV Suisse with RSI, the Swiss national television in Italian, for the broadcasting on its free TV channels LA1 and LA2 and on the VOD platform of the third season of Sissi and Meteo Heroes.

           

          The agreement, which has a duration of five years, provides a license for exclusive distribution on free TV in Swiss territory. The agreement provides the payment by RSI of a fixed fee.

           

          The conclusion of this further contract highlights the success of these two new series and the distribution strength of the group.

          Mondo TV: the MeteoHeroes will celebrate Easter with Bauli. The license agreement for the production of food and confectionary products has been closed

           

          15 January 2020 Mondo TV announced that Bauli S.p.A., a leading company in Italy in the food and confectionary sector, has purchased from Mondo TV a license for the territories of Italy, Vatican, San Marino and Canton Ticino for the exploitation of the licensing and merchandising rights of the MeteoHeroes animation TV series. The license grants the rights to Bauli for the production and marketing of various confectionery items for the Easter. It should be remembered that the property is the subject of a new series co-produced with Epson Meteo (see press release of 8 June 2018) and focuses on issues related to the effects of climate change, a topic currently of great relevance and interest.

           

          The license provides for the exploitation of the brand during Easter 2021; the agreement provides for the payment of a minimum guaranteed amount on future royalties, whose amount is interesting although still not particularly significant in itself, and royalties by Bauli in favor of Mondo TV for sales exceeding the amount of the guaranteed minimum. Given also the importance of the licensee and its capillary distribution capacity, royalties exceeding the guaranteed minimum are expected.

           

          This new contract marks a new important step in the development in Italy of the licensing plans associated with the property MeteoHeroes.

          Mondo TV announced the sale for the airing on the Ukrainian national channel of four programs of the classic library

           

          09 January 2020 Mondo TV informed to have confirmed a new syndication agreement (i.e. agreements for the distribution among local free-tv channels) with the company LLC CAT, based in Kiev, for the granting of free-to-air rights on the First National Channel in Ukraine of four programs of the classic library of Mondo TV.

           

          The agreement has a duration of one year and half, up to July 2021, and is on a non-exclusive basis.

           

          Beyond the economic data, which is not significant in itself, this agreement confirms the restart of the sales of Mondo TV’s classic library programs in Eastern Europe.
